Terms of Service

1. Description of Service

ReconSync AI is an automated invoice-to-bank reconciliation platform that uses artificial intelligence to match bank transactions with invoices. The Service supports CSV and Excel file uploads, multi-currency transactions, recurring transaction detection, and provides an audit trail of all matching decisions.

2. Account Registration

To use the Service, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Use a strong password (minimum 8 characters)
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

3. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Upload files containing malware, viruses, or malicious code
• Attempt to gain unauthorized access to other users' data or our systems
• Use automated tools to scrape, crawl, or probe the Service
• Exceed your plan's usage limits through automated means
• Share your account credentials with third parties
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to process data you do not have the right to upload

4. Plans & Billing

4.1 Free Plan

The free plan includes up to 10 AI-powered analyses per calendar month. This limit resets monthly.

4.2 Paid Plans

Paid plans (e.g., Starter) provide additional analyses and features as described on our pricing page. Billing is handled through FastSpring. Charges are non-refundable except as required by law or as explicitly stated in our refund policy.

4.3 Cancellation

You may cancel your subscription at any time. Upon cancellation, you will retain access to your paid plan until the end of your current billing period, after which your account will revert to the free plan.

4.4 Refunds

Refund requests are evaluated on a case-by-case basis. Contact us at support@reconsync.ai within 14 days of your purchase to request a refund.

5. User Data & Content

You retain ownership of all data you upload to the Service. By uploading data, you grant us a license to:

• Store and process your data to provide the reconciliation service
• Analyze your data using our AI matching engine
• Generate match suggestions and reconciliation reports

We do not use your data to train our AI models or share it with third parties beyond what is described in our Privacy Policy.

6. AI Matching Accuracy

The Service uses AI to suggest matches between bank transactions and invoices. While we strive for high accuracy, AI-generated matches are suggestions only and should be reviewed by a human before confirmation. We do not guarantee 100% matching accuracy. You are responsible for verifying all confirmed matches.

7. Service Availability

We aim to maintain 99.9% uptime but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or due to circumstances beyond our control (force majeure). We reserve the right to modify or discontinue features with reasonable notice.

8. Limitation of Liability

To the maximum extent permitted by law, ReconSync AI and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or business opportunities
• Financial losses due to incorrect match suggestions
• Data loss or corruption
• Service interruptions or downtime

Our total liability shall not exceed the amount you have paid us in the 12 months preceding the claim.

9. Termination

We reserve the right to suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or use the Service in a manner that harms other users or our infrastructure. Upon termination, you may request a copy of your data within 30 days.

10. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or your use of the Service shall be resolved through good-faith negotiation or, if necessary, in the appropriate courts.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the new Terms. We will notify users of material changes via email or a prominent notice on the Service.
